1. Acceptance of Terms

1.1 These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Forest Protocol (“Forest Protocol,” “we,” “us,” or “our”), governing your access to and use of the decentralized software services, applications, smart contracts, and related tools made available by Forest Protocol (collectively referred to as “Forest Protocol” for the purposes of this Agreement).

1.2 By accessing, connecting a wallet to, or using any aspect of Forest Protocol, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must refrain from any use of Forest Protocol.

1.3 These Terms govern all interactions and transactions conducted through or in connection with Forest Protocol, including but not limited to the creation, publication, viewing, and exchange of digital assets and related content.

2. Forest Protocol Services

2.1 Forest Protocol operates as a fully trustless and permissionless protocol. It purely a software product, a digital tool designed to be accessible and interoperable with public blockchain networks without the need for prior registration, approval, or authorization from Forest Protocol or any affiliated party. Accordingly, any person with the requisite technical capability may deploy, interact with, or build upon Forest Protocol’s launchpad, smart contracts, APIs and related interfaces. Forest Protocol does not, as a general rule, monitor, screen, pre-approve, endorse, or otherwise vet any projects, digital assets, applications, or content created, published, or distributed by third parties through or in connection with Forest Protocol. Forest Protocol does not exercise editorial control over, or assume any responsibility or liability for, the legality, accuracy, morality, or quality of any third-party content or activities conducted through such interactions. All use of and reliance upon Forest Protocol, including engagement with any user-generated or third-party-developed materials, occurs entirely at your own risk. You acknowledge and agree that Forest Protocol has no obligation to intervene in, investigate, or resolve disputes between users or between users and third parties arising from the use of or interactions with the protocol.

2.2 Forest Protocol does not act as a broker, intermediary, custodian, financial institution, investment advisor, or virtual asset service provider (“VASP”). All transactions or exchanges involving digital assets are executed via decentralized technologies and third-party systems over which Forest Protocol has no control, even though Forest Protocol may have integrated their services or APIs into its platform or website.

2.3 No digital assets are ever held, controlled, or stored by Forest Protocol. You acknowledge that all transactions you execute are your sole responsibility and that Forest Protocol has no fiduciary duty or custodial relationship toward you.

2.4 The display or listing of any digital asset on Forest Protocol, including without limitation those identified as “trending,” “hot,” or any similar designation, does not constitute a recommendation or endorsement by Forest Protocol, it merely reflects objective metrics Forest Protocol may at its sole discretion elect to track in order to display the projects gathering the most traction with its userbase.

2.5 Usage of the Forest Protocol is provided at our absolute discretion. We reserve the right to refuse any usage of, or restrict your access to Forest Protocol for any reason, or without reason at any time.

3. Eligibility

3.1 To access or use Forest Protocol, you must:

(a) be of legal age of majority and have full legal capacity in your jurisdiction;

(b) if you act on behalf of a legal entity, have full authorization to contractually bind that entity;

(c) not be subject to any prohibition under applicable law from accessing decentralized technologies or digital asset systems; and

(d) not be located in, incorporated in, or ordinarily resident in any sanctioned or restricted jurisdiction, including, without limitation: United States, Cuba, Iran, North Korea, Syria, Sudan, South Sudan, Belarus, Venezuela, Myanmar, Zimbabwe, Crimea, Donetsk and Luhansk regions of Ukraine, and any other country or territory subject to comprehensive sanctions, or embargoes imposed United States, the European Union, or Switzerland.

3.2 Automated access, including through bots, artificial intelligence agents, or other automated systems, is strictly prohibited. Forest Protocol reserves the right to block or suspend access by any automated accounts, IP addresses or persons engaging in unauthorized automation.

4.User Obligations and Prohibited Conduct

4.1 You agree to use Forest Protocol solely for lawful creative purposes and in accordance with these Terms. You shall not:

(a) breach or attempt to breach these Terms or any policy incorporated herein by reference;

(b) engage in market manipulation, “pump-and-dump” schemes, wash trading, or similar deceptive activities;

(d) infringe upon or misappropriate any intellectual property, privacy, or publicity rights of any third party;

(e) upload or use software that contains viruses, malware, or any code intended to disrupt Forest Protocol’s operation;

(f) use anonymizing proxies, spoofed IPs, or techniques intended to conceal or manipulate network activity;

(g) use Forest Protocol for gambling or games of chance involving monetary or asset value unless all required licenses are obtained by you; or

(h) violate any applicable law, regulation, or third-party rights.

4.2 Forest Protocol reserves the right, at its sole discretion, to restrict, suspend, or terminate any access that violates this Section or any other provision of these Terms.

5. User Content and Intellectual Property

5.1 You retain ownership of all intellectual property rights in any content you create, upload, or publish through Forest Protocol (“User Content”).

5.2 By uploading or publishing User Content, you grant to Forest Protocol a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, and communicate such User Content for the purpose of operating, promoting, and marketing Forest Protocol.

5.3 Forest Protocol reserves the right to remove or disable access to any User Content deemed, at its sole discretion, to be illegal, obscene, hateful, or otherwise objectionable.

5.4 Forest Protocol retains all intellectual property rights in and to its software, user interface, trademarks, copyright and associated content. Nothing in these Terms confers upon you any ownership or proprietary interest in Forest Protocol.

6. Representations and Warranties

6.1 You represent and warrant that:

(a) all information provided by you in connection with your use of Forest Protocol is true, accurate, and complete;

(b) you have full power and authority to enter into and perform your obligations under these Terms;

(d) you have obtained all necessary consents, approvals, and permissions required for your activities under these Terms;

(e) you are solely responsible for any digital assets or content you create, distribute, or interact with through Forest Protocol;

(f) you will comply with all applicable tax, anti-money laundering, and data protection obligations;

(g) all decisions made in connection with Forest Protocol and these Terms were solely and exclusively based on your own judgement.

6.2 These representations and warranties are continuous and shall be deemed reaffirmed each time you access or use Forest Protocol.

7. Assumption of Risk

7.1 You expressly acknowledge and agree that your use of Forest Protocol, and any interaction with decentralized applications, smart contracts, or digital assets facilitated thereby, is entirely at your own risk. Forest Protocol is made available on an “as is” and “as available” basis without representation or warranty of any kind, and you assume all risks associated with its access, configuration, and use, including those described herein and any others inherent to decentralized technologies and digital asset markets.

7.2 Forest Protocol operates as a trustless and permissionless public software system. Any person may deploy, use, or interact with Forest Protocol’s smart contracts or interfaces without prior approval. Forest Protocol does not monitor, screen, or otherwise vet projects, tokens, or content created or published by third parties, nor does it intervene in, supervise, or guarantee the conduct, compliance, or quality of such projects or their developers. By using Forest Protocol, you understand and accept that all interactions with third-party projects, tokens, or contracts occur directly on-chain and outside the control or oversight of Forest Protocol. You bear full responsibility for verifying the authenticity, functionality, legality, and safety of any such engagements.

7.3 Trading and Market Risks:

(a) Operational Risks: Interaction with decentralized or centralized trading platforms exposes users to operational and systemic risks, including but not limited to technical failures, smart contract bugs, system outages, maintenance periods, or cyberattacks that may impair or permanently prevent access to digital assets or trading functions. Network congestion and transaction failures may occur without warning and may not be reversible.

(b) Liquidity and Price Volatility: Digital assets associated with or created through Forest Protocol are inherently volatile. Prices can fluctuate dramatically due to market sentiment, speculative activity, regulatory developments, or external events. You may experience substantial or total losses of value.

(c) Market Manipulation: Digital assets accessible through Forest Protocol may be susceptible to manipulation, including wash trading, pump-and-dump schemes, or other deceptive practices. Forest Protocol has no capacity or obligation to monitor or prevent such activities.

(d) Delisting and Access Risk: Tokens may lose trading access or be delisted from trading venues due to business decisions, regulatory restrictions, or technical failures, resulting in illiquidity or loss of secondary market access.

(e) Fee Structures: Third-party trading venues, aggregators, or liquidity providers may impose variable fees or costs for trading, withdrawal, or deposit activities. Forest Protocol does not determine or receive any such fees and shall bear no liability for changes, miscalculations, or losses arising therefrom.

7.4 Custody and Security Risks:

(a) Forest Protocol is non-custodial and does not hold or control user funds. All digital assets remain in users’ self-custodied wallets, and all transactions are executed directly on blockchain networks. You are solely responsible for maintaining the confidentiality and security of your private keys, seed phrases, and authentication credentials. Loss or compromise of such credentials may result in irreversible loss of assets.

(b) If you interact with centralized exchanges, you assume counterparty risk arising from the security and solvency of those entities. Exchange failures, insolvencies, hacks, or internal fraud may lead to partial or total loss of tokens deposited with them. Forest Protocol disclaims all responsibility for such losses.

7.5 Technology and Infrastructure Risks

(a) Blockchain Risks - Forest Protocol relies on decentralized blockchain networks and may be affected by network congestion, protocol changes, hard forks, validator behavior, or consensus failures. These events may affect transaction finality, availability, or functionality.

(b) Smart Contract Vulnerabilities - Despite industry-standard precautions, smart contracts remain subject to bugs, coding errors, exploits, or unforeseen vulnerabilities that could result in asset loss or functional failure. Once deployed, such contracts may not be modifiable or reversible.

(c) Integration and Dependency Risks - Forest Protocol may integrate or interact with third-party systems, APIs, wallets, oracles, or other blockchain layers. Malfunctions, downtime, or data inaccuracies within such systems may materially affect your use of Forest Protocol.

(d) AI and Data Integration Risks - If Forest Protocol or related applications incorporate artificial intelligence or automated data aggregation, such systems may produce incorrect, delayed, or inconsistent results. Forest Protocol does not warrant the accuracy or reliability of any data, analysis, or output derived from such automated components.

7.6 Regulatory and Legal Risks:

(a) The legal and regulatory treatment of digital assets, decentralized finance (“DeFi”) protocols, and blockchain-based applications remains uncertain and subject to change. Future legislation, judicial decisions, or administrative actions could materially affect your ability to use Forest Protocol or certain digital assets.

(b) Forest Protocol does not represent or warrant that its use or any interaction with digital assets is lawful in your jurisdiction. You are solely responsible for determining and complying with all applicable laws, regulations, and tax obligations related to your use of Forest Protocol.

(c) Forest Protocol does not provide, and should not be construed as providing, any financial, legal, or investment advice. Participation in any activity involving digital assets is inherently speculative and may result in total loss.

7.7 Project and Ecosystem Risks

(a) The performance and value of any digital asset created or distributed through Forest Protocol depend on factors outside Forest Protocol’s control, including project development progress, user adoption, competitive dynamics, and external funding conditions.

(b) Project teams or developers interacting with Forest Protocol may fail to deliver promised functionalities, abandon their initiatives, or become subject to enforcement actions, causing the corresponding digital assets to lose value or utility.

(c) Technological complexity, human error, and reliance on third-party service providers can result in unforeseen outcomes, including degradation of system performance or failure of project execution.

7.8 By accessing or using Forest Protocol, you acknowledge and agree that:

(a) You assume all risks associated with the use of decentralized networks, smart contracts, and digital assets, including without limitation those described above;

(b) You have conducted your own independent investigation and due diligence before engaging with any digital asset, smart contract, or project through Forest Protocol;

(c) Forest Protocol and its contributors, developers, and affiliates shall not be liable for any damages, losses, or liabilities arising from or related to your use of Forest Protocol, including any technical failure, loss of access, or regulatory action; and

(d) Your continued use of Forest Protocol constitutes a complete and irrevocable assumption of all such risks.

8. Fees and Taxes

8.1 Fees applicable to transactions or services may be displayed on Forest Protocol and may be amended from time to time at Forest Protocol’s sole discretion.

8.2 You are solely responsible for determining and paying any taxes, duties, or governmental assessments arising from your activities in connection with Forest Protocol.

8.3 You acknowledge and agree that any network or “gas” fees incurred in connection with transactions executed through Forest Protocol are determined and collected by third-party blockchain networks and are not set, received, or controlled by Forest Protocol. All such fees are inherent to the decentralized infrastructure of the applicable blockchain and are payable directly to network validators, miners, or equivalent participants. Forest Protocol does not receive, process, or retain any portion of such fees and shall bear no responsibility or liability for the calculation, estimation, execution, failure, or refund of any network transaction fees.

8.4 You further acknowledge that any pricing information, token values, gas fee estimates, or other transactional data displayed to you through wallet interfaces, browser extensions, or third-party integrations (including without limitation MetaMask, Binance Wallet, or similar applications) are generated and provided exclusively by those external tools or their data providers. Such information is offered solely as a convenience, may be inaccurate, delayed, or incomplete, and does not constitute a statement or representation by Forest Protocol. Forest Protocol expressly disclaims any responsibility or liability arising from reliance upon such third-party data or any financial loss, failed transaction, or network error resulting therefrom.

9. Security

9.1 You are responsible for maintaining adequate security and control of your devices, wallets, and authentication credentials.

9.2 Forest Protocol will never request your private keys, seed phrases, or two-factor authentication codes. Any loss resulting from your failure to secure such credentials shall be solely your responsibility.

9.3 You agree to immediately notify Forest Protocol if you become aware of any unauthorized access or suspected breach of security relating to your use of Forest Protocol.

10. Limitation of Liability

10.1 To the fullest extent permitted by applicable law, Forest Protocol provides all services on an “as is” and “as available” basis and disclaims all representations, warranties, and conditions, express or implied.

10.2 In no event shall Forest Protocol be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits, data, or goodwill, whether arising in contract, tort, or otherwise.

10.3 Forest Protocol’s total aggregate liability for any claim shall not exceed the amount of fees paid by you to Forest Protocol in connection with the transaction giving rise to such claim.

10.4 Forest Protocol shall not be liable for (a) any loss arising from actions of third parties; (b) service interruptions; (c) blockchain malfunctions or network delays; or (d) events of force majeure.

10.5. Forest Protocol shall not, under any circumstances, be held responsible or liable for any acts, omissions, defaults, or unlawful conduct of third parties, including but not limited to developers, project teams, network validators, liquidity providers, token issuers, or any other persons or entities interacting with or utilizing Forest Protocol. Without limiting the generality of the foregoing, Forest Protocol shall bear no responsibility or liability for any unauthorized access, hacking, data breach, exploitation, security incident, pump and dump schemes, market manipulation or other misconduct perpetrated by third parties, whether affecting you, Forest Protocol, or any related system. Furthermore, Forest Protocol expressly disclaims any liability arising from or related to the performance, availability, usability, accuracy, or reliability of any third-party software, smart contracts, decentralized applications, APIs, data feeds, wallets, or blockchain networks integrated with or accessible through Forest Protocol. Such third-party tools and services are provided “as is,” and their continued availability, functionality, and accuracy are not guaranteed or warranted by Forest Protocol. Forest Protocol shall not be liable for any direct, indirect, incidental, consequential, or exemplary losses, damages, or liabilities, including loss of assets, data, reputation, profits, or goodwill, resulting from (a) failures, downtime, or errors in third-party systems or integrations; (b) the discontinuation, modification, or malfunction of third-party protocols, APIs, or interfaces; or (c) any reliance by you or others on data, pricing information, or outputs generated by such third-party software or services. You are solely responsible for evaluating, selecting, and maintaining any third-party applications or connections used in conjunction with Forest Protocol and for all risks associated therewith.

10.6. Forest Protocol shall not, under any circumstance, be responsible or liable for any user’s failure to obtain, maintain, or comply with any licence, authorization, registration, or regulatory notification required for the issuance, marketing, promotion, distribution, or operation of any digital asset, token, application, or project created or deployed through Forest Protocol. Forest Protocol does not provide, procure, or facilitate any regulatory approval or notification process and makes no representation that the use of Forest Protocol or any resulting token, project, or application is lawful, compliant, or authorized in any jurisdiction. Without limiting the generality of the foregoing, Forest Protocol expressly disclaims all responsibility and liability for:
(a) any non-compliance by you, other Forest Protocol users or third parties with regulatory frameworks applicable to their activities, including, without limitation, the Markets in Crypto-Assets Regulation (MiCA), securities and financial-promotion laws, anti-money-laundering and counter-terrorist-financing obligations, and consumer-protection statutes;
(b) any failure by you, other Forest Protocol users or project to obtain gambling, gaming, or similar licences in jurisdictions where required for the offering or operation of applications or properties created using Forest Protocol;
(c) any marketing, offering, or communication by users or third parties that is false, misleading, deceptive, or otherwise unlawful; and
(d) any suspension, enforcement action, fine, sanction, delisting, or loss suffered by users or third parties arising from or related to any such failures or misrepresentations.

10.7. Each user bears sole and exclusive responsibility for ensuring that all tokens, applications, and communications generated or made available through Forest Protocol comply with all applicable legal, regulatory, and licensing requirements in every jurisdiction of operation or promotion. Forest Protocol does not and will not review, monitor, or validate the legality, accuracy, or compliance of any user-generated content, marketing materials, or token-related documentation. All use of Forest Protocol and any marketing or distribution of digital assets created thereon are undertaken entirely at the user’s own risk.

11. Indemnification

11.1 You agree to indemnify, defend, and hold harmless Forest Protocol, its affiliates, contributors, and licensors from and against any and all claims, actions, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

(a) your use or misuse of Forest Protocol;

(b) your violation of these Terms or any applicable law;

(d) your User Content.

11.2 This indemnity shall survive termination of these Terms.

12. Arbitration and Class Action Waiver

12.1 Any dispute, controversy, or claim arising out of or relating to these Terms or your use of Forest Protocol shall be finally resolved by binding arbitration under the Swiss Rules of International Arbitration of the Swiss Chambers’ Arbitration Institution, in force at the time of submission.

12.2 The seat of arbitration shall be Zug, Switzerland, and the language of the arbitration shall be English. The arbitral tribunal shall consist of a single arbitrator appointed in accordance with the Swiss Rules of International Arbitration of the Swiss Chambers’ Arbitration Institution.

12.3 The arbitration award shall be final and binding on the parties, and judgment upon the award may be entered in any court of competent jurisdiction.

12.4 You and Forest Protocol agree that all disputes shall be conducted solely in an individual capacity and not as part of a class, collective, or representative proceeding. You expressly waive the right to participate in any class action or similar proceeding.

13. Governing Law

13.1 These Terms shall be governed by and construed in accordance with the substantive laws of Zug, Switzerland, excluding conflict of law principles.

13.2 Subject to Section 12, any dispute not subject to arbitration shall be submitted to the exclusive jurisdiction of the competent courts of Zug, Switzerland.

14. Amendments

14.1 Forest Protocol may modify these Terms at any time by publishing a revised version on https://forest.inc/terms-of-service.

14.2 Your continued use of Forest Protocol after the effective date of any amendment constitutes acceptance of the amended Terms.

15. Takedown Request

15.1 Forest Protocol respects copyright and other intellectual property rights, and it complies with the all applicable intellectual property laws.

15.2 Notifications of alleged infringement of copyright or other intellectual property rights should be sent to [email protected] (subject line: “Takedown Request”) and must include:

(a) a physical or electronic signature of the rights holder;

(b) identification of the copyrighted work claimed to be infringed;

(d) your contact details;

(e) a statement of good faith belief that the use is unauthorized; and

(f) a statement under penalty of perjury that the information is accurate.

16. General Provisions

16.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.2 No delay or omission in enforcing any right shall operate as a waiver thereof.

16.3 Forest Protocol may assign or transfer its rights or obligations under these Terms without restriction. You may not assign these Terms without prior written consent from Forest Protocol.

16.4 Forest Protocol shall not be liable for delay or failure caused by any event beyond its reasonable control, including acts of God, war, civil unrest, or technological failures (“Force Majeure”).

16.5 These Terms do not establish a partnership, joint venture, or agency relationship.

16.6 The provisions of these Terms that by their nature are intended to survive termination shall survive, including, but not limited to Sections 6, 7, 10, 11, 12, and 16.
